These Terms of Use ("Terms") govern your use of the Hubly mobile application and any related services we provide in connection with it.
Hubly is operated by Helpful Machines Ltd ("Hubly", "we", "us", "our").
By downloading, installing, accessing, or using Hubly, you agree to these Terms. If you do not agree to these Terms, you must not use Hubly.

2. Eligibility and Use of the App
You may use Hubly only in compliance with these Terms and applicable law.
You are responsible for ensuring that your use of Hubly is lawful in your jurisdiction and appropriate for your circumstances.
If you are using Hubly on behalf of another person, you are responsible for ensuring that you have appropriate authority to do so.
If you are under the age required to enter into a binding agreement in your jurisdiction, you may use Hubly only with the involvement or permission of a parent, guardian, or other authorised adult where required by law.
3. Nature of Hubly
Hubly is a digital organisational and self-management tool intended to help users record information, structure routines, and manage day-to-day tasks.
Hubly is not a medical device, not a diagnostic tool, and not a substitute for professional medical, nursing, therapeutic, or other clinical advice.
Hubly does not provide emergency services or emergency monitoring.
4. Medical and Care Disclaimer
Hubly may provide routine templates, examples, prompts, reminders, suggested structures, and informational content to help users organise information and daily tasks.
These materials are provided for general informational and organisational purposes only. They are not medical advice, clinical guidance, diagnosis, treatment, or a substitute for professional judgment.
Hubly does not prescribe care routines.
Any care routine, intervention, timing, frequency, or related decision should be determined, prescribed where appropriate, and reviewed by a qualified healthcare professional familiar with the user's individual needs and circumstances.
You should not rely on Hubly as the sole basis for any health, care, medical, or safeguarding decision.
If you have concerns about health, safety, treatment, symptoms, medication, or care needs, you should seek advice from a qualified healthcare professional.
If you believe there is an emergency, you must contact the appropriate emergency services immediately.
5. No Professional Relationship
Your use of Hubly does not create any doctor-patient, clinician-patient, therapist-client, fiduciary, or other professional relationship between you and Helpful Machines Ltd.
6. Licence to Use Hubly
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install, and use Hubly for your personal, lawful use on devices that you own or control, in accordance with these Terms and any applicable platform rules.
This licence does not transfer ownership of Hubly or any intellectual property rights in Hubly to you.
7. Acceptable Use
You agree that you will not:
- use Hubly in any way that violates applicable law or regulation;
- use Hubly for unlawful, fraudulent, abusive, or harmful purposes;
- interfere with or disrupt Hubly or any related systems;
- attempt to gain unauthorised access to any part of Hubly, our systems, or other users' data;
- reverse engineer, decompile, disassemble, or attempt to derive source code from Hubly except where applicable law expressly permits this;
- copy, modify, distribute, sell, lease, sublicense, or commercially exploit Hubly except as expressly permitted by us in writing;
- use Hubly to upload, submit, or transmit malicious code, spam, or harmful material;
- submit false, misleading, harassing, threatening, defamatory, obscene, or unlawful content through any feedback or contact feature; or
- use Hubly in a way that could harm us, other users, or third parties.
8. User Content and Responsibility
You are responsible for the information you enter into Hubly and for any information you choose to export, share, or submit to us.
You are also responsible for ensuring that any information you enter, store, or share through Hubly is accurate, appropriate, and lawful.
If you use Hubly in relation to another person's care, health, or personal circumstances, you are responsible for ensuring that you have the right to record or handle that information and that your use complies with applicable law and duties.
We are not responsible for reviewing, verifying, or validating the accuracy, completeness, legality, or appropriateness of user-entered information.
9. Feedback and Support Submissions
Hubly may provide an in-app feedback or contact form so that you can send us support requests, bug reports, suggestions, or questions.
If you submit feedback, suggestions, or ideas to us, you agree that we may use them without restriction or obligation to compensate you, except where applicable law does not permit this.
If you provide your name or email address through the contact or feedback form, we may use those details only to identify your submission and respond to you about it.
You must not include unnecessary sensitive, confidential, or identifying information in a feedback submission unless it is necessary to explain your issue.
Our handling of personal data submitted through the feedback or contact form is governed by our Privacy Policy.
10. Privacy
Your use of Hubly is also subject to our Privacy Policy, which explains how we process personal data.
By using Hubly, you acknowledge that you have read the Privacy Policy.
11. In-App Purchases and Subscriptions
Hubly may offer optional paid features, enhancements, or digital content through in-app purchases, including auto-renewing subscriptions.
All in-app purchases and subscriptions are processed by Apple through the App Store using the payment method associated with your Apple ID. We do not directly collect, receive, or store your full payment card details.
Any prices shown in Hubly are displayed in the currency and format made available through the App Store and may vary by country, tax, exchange rate, or App Store pricing rules.
Paid features are optional. Unless expressly stated otherwise, Hubly's core functionality is not dependent on the purchase of optional paid enhancements or subscriptions.
Such purchases are intended to add optional functionality or enhancements and are not intended to remove or disable features that already work as described at the time they are provided.
One-Time Purchases
If an in-app purchase is a one-time purchase, the charge will be billed to your Apple ID at the time of purchase. One-time purchases do not renew automatically.
Auto-Renewing Subscriptions
If you purchase an auto-renewing subscription, payment will be charged to your Apple ID account at confirmation of purchase.
Your subscription will automatically renew unless it is cancelled at least 24 hours before the end of the current billing period.
Your Apple ID account will be charged for renewal within 24 hours before the end of the current billing period at the rate in effect for the selected subscription.
You can manage or cancel your subscription at any time through your Apple ID account settings in the App Store after purchase.
If a free trial or introductory offer is provided, it will automatically convert to a paid subscription unless cancelled before the end of the trial or introductory period.
If you cancel a subscription, cancellation will take effect at the end of the current billing period. You will retain access to the subscription features until that time unless otherwise stated.
Changes to Pricing and Features
We may change, replace, reprice, limit, or discontinue optional paid features, enhancements, or subscription offerings at any time, to the extent permitted by law and the App Store rules.
If you have purchased a one-time entitlement or subscription, this does not give you ownership of Hubly itself or any right to future features unless expressly stated at the time of purchase.
Refunds and Billing Issues
The App Store is responsible for billing, payment processing, subscription management, and refunds for purchases made through Apple's platform.
Any refund requests, billing disputes, or payment issues relating to App Store purchases are generally handled by Apple in accordance with Apple's terms and policies and any rights you may have under applicable law.
We do not guarantee that any purchase will be refundable except where required by applicable law or Apple's policies.
Availability
Optional paid features and subscriptions may not be available in all countries or regions and may be subject to device, operating system, App Store, or platform limitations.
12. Availability and Changes
We may update, modify, suspend, discontinue, or restrict all or part of Hubly at any time, with or without notice, to the extent permitted by law.
We do not guarantee that Hubly, or any feature within it, will always be available, uninterrupted, error-free, secure, or compatible with your device, operating system, or workflow.
Features may change over time. Templates, prompts, organisational tools, and other content may be revised, removed, or replaced.
13. Third-Party Platforms and Services
Hubly may be downloaded or used through third-party platforms such as Apple's App Store. Your use of those platforms is governed by their own terms and policies.
We are not responsible for third-party platforms, services, websites, or products that are not operated by us.
If Hubly links to or interoperates with any third-party service in future, your use of that service may be subject to separate third-party terms.
14. Device and Data Responsibility
Hubly is currently designed as a local-first app. You are responsible for your device, device security, backups, passcodes, export decisions, and any loss of access resulting from deletion, device failure, operating system issues, or backup issues.
We are not responsible for any loss of locally stored data caused by device loss, damage, theft, corruption, deletion, operating system behaviour, failed backup, or user action.
15. Updates
We may release updates, patches, fixes, or new versions of Hubly. Some updates may be required for continued functionality, compatibility, or security.
If you choose not to install updates, Hubly may not function properly or may stop functioning altogether.
16. Intellectual Property
Hubly, including its software, design, branding, logos, text, graphics, templates, and other content made available by us, is owned by or licensed to Helpful Machines Ltd and is protected by applicable intellectual property laws.
Except for the limited licence granted in these Terms, no rights are granted to you.
You must not use our name, logos, branding, or other protected materials except as expressly permitted by us in writing.
17. Beta, Experimental, or Early Features
From time to time, we may label certain features as beta, preview, early access, experimental, or similar.
Those features may be incomplete, unstable, or subject to change, and may be withdrawn at any time.
You use such features at your own risk.
18. Disclaimers
To the maximum extent permitted by law, Hubly is provided on an "as is" and "as available" basis.
We do not warrant that:
- Hubly will meet your requirements;
- Hubly will be uninterrupted, timely, secure, or error-free;
- any routines, templates, reminders, prompts, or insights will be accurate, complete, suitable, or appropriate for your circumstances;
- any defects will be corrected immediately or at all; or
- Hubly will prevent harm, injury, medical issues, missed care, or other adverse outcomes.
Nothing in these Terms excludes any non-excludable rights you may have under applicable law, including statutory consumer rights.
19. Limitation of Liability
To the fullest extent permitted by law, Helpful Machines Ltd and its directors, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, use, opportunity, data, or business interruption arising out of or related to your use of, or inability to use, Hubly.
To the fullest extent permitted by law, our total aggregate liability arising out of or related to Hubly or these Terms will not exceed the greater of:
- the amount you paid for Hubly in the 12 months preceding the claim; or
- £50.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
20. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Helpful Machines Ltd and its directors, officers, employees, contractors, and affiliates from and against claims, liabilities, damages, losses, and expenses arising out of or connected with:
- your misuse of Hubly;
- your breach of these Terms;
- your violation of applicable law; or
- your infringement of the rights of any third party.
21. Termination
These Terms apply from the time you first use Hubly and continue until terminated.
You may stop using Hubly at any time, including by deleting the app.
We may suspend or terminate your access to any part of Hubly, including any support channel or related service, if we reasonably believe that you have breached these Terms, created risk, engaged in misuse, or where suspension or termination is otherwise necessary for legal, security, or operational reasons.
Sections that by their nature should survive termination will survive termination, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution.
22. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice within the app or by other appropriate means.
Your continued use of Hubly after updated Terms take effect constitutes acceptance of the updated Terms, to the extent permitted by law.
23. Governing Law and Jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales, except where mandatory consumer protection laws in your country of residence apply.
If you are a consumer residing in the United Kingdom, you may bring proceedings in the courts of the part of the United Kingdom in which you live, as permitted by applicable law.
If you are a consumer residing in the EU or another jurisdiction with mandatory consumer forum rights, nothing in these Terms is intended to override rights you have under applicable consumer law.
If you are using Hubly in a business capacity and are not a consumer, the courts of England and Wales will have exclusive jurisdiction, unless applicable law requires otherwise.
24. Severability
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.
25. No Waiver
If we do not enforce a provision of these Terms, that does not mean we waive our right to do so later.
26. Entire Agreement
These Terms, together with our Privacy Policy and any other terms expressly incorporated by reference, form the entire agreement between you and us regarding your use of Hubly, except where platform rules or mandatory law apply separately.
